Due Diligence Defense

Under the Securities Act of 1933, defendants other than issuers are not liable for material misrepresentations or omissions in the registration statement if they can prove they had reasonable grounds to believe, and did believe, that there were no material misrepresentations or omissions. This defense is called the due diligence defense.
