Liquidated Damages

Liquidated damages occur when the contract states in advance what damages will be if there is a breach (e.g., the parties agree the buyer will forfeit a down payment if he or she breaches). Liquidated damages are enforceable if they are reasonable to the actual harm done and not a penalty.
